What you agree to when you use EquityFlowX
EquityFlowX is a marketplace for shares in private companies. Before anything is bought or sold, each transfer passes identity checks, accredited-investor verification, issuer approval and any right of first refusal. The documents on this page explain how that works, how your information is handled, what it costs, and what we expect of you. Opening an account means agreeing to each of them.

Key terms
- Accredited investor
- A person or organisation that meets the SEC’s income, net-worth or professional tests. Only accredited investors can make an offer, and the status is verified against evidence.
- KYC and AML
- Know Your Customer and Anti-Money Laundering checks. We confirm who you are and screen for financial crime before you can use the marketplace.
- Issuer
- The private company whose shares are being bought or sold. Most issuers must approve a transfer before it can complete.
- Right of first refusal
- A right some issuers or existing holders have to buy shares on the same terms before an outside buyer can.
- Liquidity event
- A sale the company itself organises, such as an employee tender, in which eligible investors can take part.
- Shareholder listing
- Shares a verified holder offers for sale. The issuer still reviews any transfer that results.
- Reference price
- The last primary-round price a company has reported. It is not a quotation, a real-time market price or a promise that shares can be sold at that price.
- Settlement
- The final step, when payment and ownership change hands. A transfer is not complete until it settles.
- Illiquidity
- Private shares can be hard or impossible to sell, sometimes for years, and can lose all of their value.
What is expected of you
-
Give accurate information
Your identity, accreditation and account details must be true and kept up to date. Tell us if your accreditation status changes.
-
Keep your account secure
Use a strong password, turn on two-factor authentication, and never share your sign-in details.
-
Understand the risks
Only invest money you can afford to lose and to leave invested for a long time. Read the Risk Disclosure before you make an offer.
-
Respect transfer restrictions
Issuers can approve or decline a transfer, or buy the shares under a right of first refusal. Do not try to transfer shares outside the platform’s process.
-
Keep company information confidential
Information shared with you about a company is for deciding on a transaction. Do not pass it on or trade on it elsewhere.
-
Use the platform lawfully
Do not use EquityFlowX to launder money, avoid sanctions, or act for someone you have not told us about.
-
Read what we send you
Notices, documents and decisions are sent electronically. Keep your email address current and read our messages.
